Reseller & Platform License Agreement
1. Overview
This Reseller & Platform License Agreement (“Agreement”) governs access to and use of Seashore PR Inc.’s (“Seashore PR,” “we,” “us,” or “our”) proprietary platform, database, and related materials (the “Press Portal”) by third-party agencies (“Partner” or “Reseller”). By accessing or using the Press Portal, you agree to the terms of this Agreement.
2. License Grant
Seashore PR grants Partner a limited, non-exclusive, non-transferable license to access and use the Press Portal solely for internal business purposes, including quoting and reselling Seashore PR media placements to their own clients.
This license does not permit Partner to provide access to their clients or any third party.
3. Restrictions
Partner agrees not to:
Share, sublicense, or provide Press Portal access to clients or third parties.
Copy, download, or redistribute Seashore PR’s pricing, publisher lists, or materials.
Misrepresent Seashore PR’s services, pricing, or capabilities.
Use the Press Portal or any materials for competing products or services.
4. Ownership
All intellectual property rights, data, software, and materials in the Press Portal remain the exclusive property of Seashore PR Inc. No ownership rights are transferred through this Agreement.
5. Confidentiality
Partner must treat all information, including pricing, publisher data, and client materials, as strictly confidential and may only use such information to facilitate press placements under this Agreement.
6. Payment and Resale
Partners agree to purchase placements directly from Seashore PR at agreed wholesale rates and may apply their own markup when reselling. All payments must be made directly to Seashore PR upon confirmation of live publication.
7. Termination
Seashore PR reserves the right to suspend or revoke Partner access at any time for breach of this Agreement, misuse of the platform, or unethical conduct. Upon termination, Partner must immediately cease all access and use of Seashore PR materials.
8. Liability
The Press Portal and all related services are provided “as is.” Seashore PR shall not be liable for any indirect, incidental, or consequential damages arising from Partner’s use or resale of services.
9. Governing Law
This Agreement is governed by the laws of Canada and the province of Nova Scotia. Any disputes shall be resolved through binding arbitration in Halifax, Nova Scotia.
